Description

SALCON BERHAD ("SALCON" OR THE "COMPANY") (I) PROPOSED BONUS ISSUE OF SHARES (II) PROPOSED FREE WARRANTS ISSUE

Reference is made to the Company’s announcements dated 16 April 2018 and 8 May 2018 in relation to the Proposed Bonus Issue of Shares and Proposed Free Warrants Issue (“Announcements”). Unless otherwise defined, the definitions used in this announcement shall have the same meanings as previously defined in the Announcements.

On behalf of the Board of Directors of Salcon, HLIB wishes to announce that Bursa Securities has vide its letter dated 23 May 2018 resolved to approve the following:

  1. Listing and quotation for up to 169,423,613 Bonus Shares pursuant to the Proposed Bonus Issue of Shares;
  2. Admission to the Official List and listing and quotation of up to 338,847,226 Warrants to be issued pursuant to the Proposed Free Warrants Issue; and
  3. Listing and quotation of up to 338,847,226 new Shares to be issued arising from the exercise of the Warrants.

The approval granted by Bursa Securities for the Proposed Bonus Issue of Shares and Proposed Free Warrants Issue is subject to the following conditions:

  1. Salcon and HLIB must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Bonus Issue of Shares and Proposed Free Warrants Issue;
  2. Salcon and HLIB to inform Bursa Securities upon completion of the Proposed Bonus Issue of Shares and Proposed Free Warrants Issue;
  3. Salcon to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Bonus Issue of Shares and Proposed Free Warrants Issue is completed;
  4. Salcon and HLIB are required to make the relevant announcements for the Proposed Bonus Issue of Shares pursuant to Paragraph 6.35(2)(a) & (b) and 6.35(4) of the Listing Requirements; and
  5. Salcon to furnish Bursa Securities on a quarterly basis a summary of the total number of Shares listed pursuant to the exercise of the Warrants as at the end of each quarter together with a detailed computation of listing fees payable.
